These ConnectBooster Terms of Use (“ConnectBooster Terms”) govern the purchase and use of Kaseya’s ConnectBooster product and services (“ConnectBooster”).  These ConnectBooster Terms are hereby made a part of the Kaseya Master Agreement which can be accessed here, or such other master agreement that has been executed between you and Kaseya (“Master Agreement”).  By purchasing or using ConnectBooster, you agree to be bound by the Master Agreement and these ConnectBooster Terms (collectively, the “Agreement”).  Capitalized terms not defined in these ConnectBooster Terms have the meaning given to them in the Master Agreement. To the extent there are inconsistencies between the Master Agreement and these ConnectBooster Terms, then the ConnectBooster Terms shall prevail.   

1.  USE OF CONNECTBOOSTER

a. Licensing Basis and Right to Use. ConnectBooster is licensed on a per “Instance” basis (each a “License”).  An “Instance” is defined by a unique ConnectBooster URL, and each Instance is able to integrate with only one accounting package.  Subject to your compliance with the Agreement and the receipt by Kaseya of all applicable Fees, Kaseya grants you a limited, revocable, non-sublicensable, non-exclusive right and license during the applicable Committed Service Term to access and use ConnectBooster.   The Committed Service Term of a Service Subscription is indicated on the applicable Order and is for a defined time period.  A Service Subscription begins on the start date set forth on the applicable Order.

b. Integrations.  ConnectBooster must be integrated with third party accounting software in order to function, and such accounting software is Third-Party Technology as that term is defined in the Master Agreement.  ConnectBooster is also often integrated with Professional Services Automation solutions (“PSA”), and unless such solutions are Kaseya PSA Products (such as Autotask PSA or BMS), they are also Third-Party Technology.  It is your obligation to ensure that any Third Party Technology with which you wish to use Connect Booster is on ConnectBooster’s current list of integrations accessible at this link

c. Third-Party Technology.  As described in the Kaseya Master, Kaseya is not responsible for any defects, failures, errors incorrect information, faulty calculations or other aspects of Third-Party Technology.  Kaseya is also not responsible for any changes made by a Third-Party Technology vendor that alters the compatibility of ConnectBooster with such Third Party Technology (for example, changes to Third Party APIs), and such changes shall not be grounds for termination of a ConnectBooster Subscription.  Kaseya may, in its discretion, discontinue compatibility with any Third-Party Technology and will use commercially reasonable efforts to provide you with reasonable notice of such discontinuance.   All use of Kaseya APIs are subject to the Kaseya API License, accessible at this link

d. Payment Processing.  ConnectBooster includes a feature that allows your customers to make payments to you if you are approved by one of the third-party payment processors with which Kaseya works (“Payment Processors”) and you enter into agreements with a Payment Processor.  The services of the Payment Processors are a form of Third-Party Technology. Kaseya reserves the right to change the list of available Payment Processors in its discretion and at any time, even mid-Committed Service Term. You are required to accept the terms and conditions of any Payment Processor that you do business with; these terms and conditions are in addition to Kaseya’s terms and conditions. It is your responsibility to confirm if the Payment Processor terms and conditions (and any revisions thereto) are acceptable to you, including charges and fees imposed by the Payment Processors.  If no Payment Processor with which Kaseya works is willing to provide you with payment processing services, you cannot use that feature of ConnectBooster, and such inability shall not be grounds for termination of your ConnectBooster Subscription.

e. Payment Processing Fees.  There are charges and fees imposed by the Payment Processor in addition to charges that Kaseya imposes for ConnectBooster. Kaseya reserves the right to pass on all charges imposed by your Payment Processors that Kaseya incurs on your behalf, which includes processing charge increases.  Please note:  Payment Processor fees and charges may be introduced or increased by the Payment Processor during the Committed Service Term. Payment Processors typically reserve the right to change their pricing and rates upon notice, and any such notice requirements are the obligation of the Payment Processor, not Kaseya.   If you require a refund from a Payment Processor, you must work with them directly; Kaseya is not responsible for helping you secure any refunds or similar compensation from a Payment Processor.

f. Payment Information.  If you choose to use the Payment Processing function within ConnectBooster, please note that the ConnectBooster Product does not store your PCI or PAN payment information, such as credit card and banking information (“Payment Details”) of your customer, and you cannot access such Payment Details through ConnectBooster.  When moving from one third-party involved in Payment Processing to another third party, Kaseya is not typically involved, however, Kaseya will use commercially reasonable efforts upon request to facilitate a transfer.  Kaseya does not guarantee the availability of such transfers of Payment Details and shall not be responsible or liable for improper mapping of information during transfers.  In addition, there may be third party costs related to transfers of Payment Details, and Kaseya is not responsible or liable for those costs.

g. Reports. You can access and export various reports through ConnectBooster during the term of an active and paid Subscription, such as payment transaction histories, invoice-related reports, and log data.  Some information displayed on ConnectBooster is pulled from Third-Party Technology platforms with which ConnectBooster integrates, and such information may need to be accessed from the third-party platform. 

2.  FEES AND PAYMENTS

As described in your Order for ConnectBooster, the ConnectBooster Fees fall under one of two models: a Flat Fee model and a Consumption based model.  Fees under the Flat Fee model are typically invoiced monthly, and upfront for such month.  Fees under the Consumption model are typically invoiced monthly and in arrears, based on a minimum charge as well as the dollar volume of payments processed through ConnectBooster, if any. 

3.  THIRD-PARTY ACCOUNT RESPONSIBILITIES

Upon completion of the setup/application process, you will receive login information for applicable Third-Party Technology portals.  You are responsible for maintaining the confidentiality of your account login information.   You also agree to notify Kaseya of any unauthorized use of any of these related accounts or any other breach of security.  Kaseya cannot and will not be liable for any failure to comply with this requirement.
